Health Media Award e.V.

Preamble

The legal basis for the contribution rules is § 5 of the Articles of Association of the registered association Health Media Award. The contribution rules support the purpose of the association as well as the promotion of health education on a national, European or international level. With financial support, the association is able to award a certificate and/or award (Health:Angel) to personalities, projects, foundations, non-governmental organisations and/or companies. At the same time, all association activities, press work or social media activities are also supported. In addition, the contribution rules are intended to put the association in a financial position to act as an advisor to the "Health Media Award" competition or for other projects. For this purpose, the association collects the supporting membership fees.

(1) Assessment basis for sustaining membership fee

In deviation from the turnover of the sustaining member, the membership fee is calculated according to the number of employees subject to social insurance contributions in the company. The number of owners, shareholders, managing directors and family members working for the company shall be included in the calculation. In the case of associations, societies, trade unions or other associations of persons, the number of members shall be taken into account. It shall be equated with the number of employees of a company. The executive committee of the association shall be entitled to deviate from the scale of sustaining membership fees when calculating the sustaining membership fee and to determine an economically justifiable sustaining membership fee for the sustaining member. This regulation also applies to non-profit organisations or start-ups.

(2) Graduation of the sustaining membership fee

Up to a number of 49 employees per company is the Minimum contribution for each supporting member 4.200,00€ per year (resp. 8.400,00€ at 24 months sponsoring membership). For 50 employees or more, the following scale applies for the calculation of the sustaining membership fee:

  • 200 to 499 employees: 5,000.00 / year
  • 500 to 999 employees: 6,000.00 / year
  • 1,000 to 2,999 employees: 7,000.00 / year
  • 3,000 to 3,999 employees: 8,000.00 / year
  • 4,000 to 4,999 employees: 9,000.00 / year
  • 5,000 to 5,999 employees: 10,000.00 / year
  • from 6,000 employees: 11,000.00 / year.

All sponsoring membership fees are exclusive of statutory VAT. An admission fee is not charged. In accordance with clause (5) of the Fee Schedule, the sustaining membership fees may be adjusted.

(3) Calculation of the sustaining membership fee

The sustaining membership fee is paid at Initial recording of a sustaining member is calculated on 24 months. The collection of the sustaining membership fee shall be extended for another year if the sustaining membership is not terminated in due time. A calculation of the membership fee for the respective current calendar year (1.1. to 31.12.) requires the written consent of the Association's Board of Directors. The supporting membership fees for the first 24 months after admission to the association Health Media Award e.V. and after invoicing are to be paid in advance by the supporting member within 14 days. If the Joining of the sustaining member during the current yearIf the membership fee is not paid by the end of the calendar year (until 31.12.), the fee shall be calculated on a pro rata basis for the remaining term of the respective calendar year. The Board of Directors may deviate from the pro rata calculation of the sustaining membership fee and also determine the full annual fee (or minimum fee). From 1.1. onwards, the full annual fee or the fee for 24 months will then be invoiced. The date of admission or commencement of the sponsoring membership as well as the duration can be found in the respective profile of the sponsoring member.

3.1 Due date for membership fees
Unless otherwise specified in the invoice for the payment of the sustaining membership fee, the sustaining membership fees are due on 10 January of each calendar year or every 24 months.

3.2 Cancellation of sponsoring membership
After termination of the sponsoring membership and expiry of the sponsoring membership rights, no pro rata repayment of the sponsoring membership fee shall be made.

3.3 Discounts on sustaining membership fees
In case of granting a direct debit mandate of the sustaining member to the Health Media Award e.V., the sustaining membership fee is reduced by 15% per calendar year.

3.4 Payment of sustaining membership fee, default
The sustaining member shall ensure that the subscription is paid on time. If the Supporting Member's subscription is not received by the Association by the due date (see 3.1.), the Supporting Member shall automatically be in default of payment of its Supporting Member's subscription. The outstanding subscription shall then accrue interest at the rate of 10 % on the subscription claim for each day of arrears. If the account of a sustaining member does not have sufficient funds at the time when the fee is debited, insofar as a direct debit procedure has been agreed, the sustaining member shall be liable to the Association for all costs incurred by the Association in collecting the sustaining member fee (e.g. debt collection, lawyer, court costs) as well as for any return debit notes. The same shall apply if no direct debit mandate has been issued by the sustaining member. In the event of reminders regarding outstanding or late payment of dues by the sustaining member, a reminder fee of € 75.00 per reminder will be charged. Collection costs will be charged 1:1 to the sponsoring member by the collection agency commissioned by the association Health Media Award e.V..

3.5 Promotion of material resources, offsetting
Sustaining members who instead of contributions in euros exclusively contribute material goods or services to the association or to the "Health Media Award" event shall receive a discount on the sustaining membership fee in the amount of the respective purchase value (market price). This does not apply if the sponsoring member discontinues its deliveries and services to the association, terminates contracts with the association, the Health Media Award competition is not advertised or the award ceremony is cancelled. The respective (purchase) value of the goods or services provided must be proven by the sponsoring member by means of an invoice to the Association. If no invoice is submitted upon request of the Association, the sustaining member fee shall be staggered, settled and/or offset against services of the sustaining member in accordance with section 2. of the Rules of Contribution.

3.6 Trademark rights and rights of use, licence fees
The supporting membership fee includes annual use of the registered word and image trademark "Health Media".

The Health Media Award grants a discount of 90% on the regular annual licence fee of 10.000,00€ to supporting members for the right to use, market and publish all registered trademarks. If the sponsoring membership ends, the former sponsoring member - hereinafter referred to as "non-member" - must remove all trademarks published by him/her from all websites or social media channels (e.g. Facebook, twitter, Instagram) within 10 days after leaving the registered association Health Media Award. In the case of printed media already published by Health Media Award e.V. or the non-member (e.g. books, company brochures), the already published works are protected. Reprints or new editions must be corrected accordingly by the non-member before printing. If the word/image trademarks "Health Media Award", "Health:Angel" and/or "HMA" are to be further used by the non-member outside of a sponsoring membership, there is the possibility of acquiring a separate licence for a period of use to be determined via the Association. If no licence is acquired by the non-member and the non-member continues to use and publish the word and image marks, even after a cease-and-desist order by the association, it must pay an annual usage fee of 10,000.00€ to the Health Media Award e.V..

(4) Support association Health communication

As an alternative to a sponsoring membership in the association, a company can also participate financially in an "Health Communication Support Association" participate. The annual commitment amounts to a flat rate of 80.000,00€ plus 19% VAT. Further information is available in a "Fördergemeinschaft-Ordnung" (FögO) regulated.

(5) Association account

If no direct debit procedure has been agreed, the invoiced supporting membership fee is to be transferred to the bank account of the registered association Health Media Award.

Transfer to other other or third-party accounts will not be recognised as payment.

(6) Adjustment of membership fees

The sponsoring membership fees are updated from year to year or every 24 months during the existing sponsoring membership in the same amount and invoiced to the sponsoring member in the new sponsoring period. The association Health Media Award e.V. expressly reserves the right to adjust the sponsoring membership fees depending on the development of the market and association situation. In this respect, reference is made to the current version of the statutes. If no new adjustment of the sponsoring membership fee is made by a resolution of the Board of Directors, the sponsoring membership fee calculated for the first time shall remain in effect. If the sustaining membership fee is increased by resolution of the Board of Directors, the new fee shall only apply in the following calendar year. Until then, the sustaining membership fee is "frozen", i.e. calculated on the basis of the last invoice.

(7) Amendments to the Contribution Rules

The Rules of Contribution shall be exclusively electronic on the website of the Health Media Award e.V. announced. The respective date of amendment of the respective resolution of the Rules of Contribution with reference to the previous version of the Rules of Contribution is listed at the end of the Rules of Contribution published on the internet. With the exception of the first version of 5.11.2018, the Rules of Contribution amended by a new resolution of the Board of Directors shall not be archived or published.

(8) Special levies

According to § 5 (4) of the Statutes, the Executive Board is entitled to decide on special contributions. These contributions shall be invoiced to the sustaining member together with the annual membership fee due.

(9) Data protection, place of jurisdiction

The relevant data protection regulations of the DSGVO and BDSG are observed in the context of the contribution procedure. The place of jurisdiction for all disputes concerning the sponsoring membership in the Health Media Award e.V. or the sponsoring association is the district court of Cologne.

(9) Resolutions on the Contribution Rules

The amendment to the Dues Schedule (as originally amended on 5.11.2018) was approved by Board resolution on 1.4.2019 and posted on the internet.
